1. Scope and Provider

These terms apply to the use of EmiGuide and contracts concluded through it. The provider and contracting party is Florian Zelder, trading as EmiGuide. Different user terms apply only where expressly accepted by us.

2. User Account

Personalized features require a user account. You may sign in using the methods currently offered. Information must be accurate; credentials must be kept confidential and may not be shared. Please notify us immediately if you suspect unauthorized use.

3. Formation of Contract

Displaying a package is not yet a binding offer. You select a package and are redirected to Stripe Checkout. Product, total price and payment terms are displayed before ordering. By activating the button clearly indicating an obligation to pay, you submit a binding offer. The contract is formed when we accept the order by confirming payment or activating the purchased service. You receive electronic confirmation.

4. Scope of Services

Based on your information, EmiGuide provides automated country assessments, reports and, depending on the package, detailed analyses, PDF exports or Q&A responses. The service description and usage or computation allowances displayed immediately before ordering govern the purchase. One-time payments do not create a subscription or an obligation to provide future feature or data updates.

5. AI Outputs and User Responsibility

Outputs are partly automated and generated with external AI services. Despite quality controls, they may be inaccurate, incomplete or outdated. EmiGuide provides general decision support, not individual legal, tax, financial, medical or immigration advice. Verify material information using linked primary sources and obtain advice from appropriately qualified professionals before making decisions.

6. Prices and Payment

The total prices shown in checkout apply, including applicable VAT. Payments are one-off and processed through Stripe. Available payment methods are shown in checkout. Access may be withheld until payment is successfully confirmed. Refunds are made where required by law or under an expressly stated goodwill policy.

7. Provision of Digital Services

Purchased digital content and features are linked to the user account after successful payment confirmation and are generally provided without undue delay. A current browser and internet connection are required. Where you expressly request performance before the withdrawal period expires, the separate withdrawal information applies.

8. Permitted Use

You may use the service only lawfully and for your own purposes. Prohibited conduct includes automated overloading, bypassing access or allowance limits, reselling access, interfering with security features, and entering unlawful content or third-party personal data without sufficient authorization. Statutory usage rights remain unaffected.

9. Availability and Service Changes

Continuous availability is not promised. Maintenance, security measures, network or third-party outages and force majeure may temporarily restrict use. Material services already purchased will not be withdrawn without objective reason. We may develop features further provided this does not unreasonably impair the contractual benefit of an already paid package.

10. Duration and Account Deletion

The user account continues indefinitely and may be deleted at any time through Account settings. Deletion ends access to stored profiles, reports and purchased account-linked features. Statutory retention duties and accrued payment claims remain unaffected. For a material or repeated breach, we may suspend or terminate access after balancing both parties' interests; mandatory statutory rights remain unaffected.

11. Liability

We are liable without limitation for intent and gross negligence, injury to life, body or health, under the German Product Liability Act and to the extent of expressly assumed guarantees. For a slightly negligent breach of an essential contractual obligation, liability is limited to the foreseeable loss typical of the contract. Essential obligations are those whose fulfilment makes proper performance possible and on which you may regularly rely. Liability for other slight negligence is excluded. These limitations also benefit our agents and subcontractors.

12. Statutory Conformity Rights

The statutory rights for defective digital products apply, including Sections 327 et seq. BGB. Statutory updates and remedies are not restricted. A country's assessment as more or less suitable is not in itself a defect where the agreed function is performed as contracted.

13. Right of Withdrawal

Consumers have the statutory right of withdrawal. Details, the requirements for early expiry regarding digital content and the model withdrawal form are provided in the separate withdrawal information.

14. Governing Law and Dispute Resolution

German law applies, excluding the UN Convention on Contracts for the International Sale of Goods. For consumers, this choice applies only insofar as it does not deprive them of mandatory protection under the law of their habitual residence. No exclusive jurisdiction is agreed with consumers. We are neither willing nor obliged to participate in dispute resolution proceedings before a consumer arbitration board.

15. Changes to These Terms

The terms incorporated when an individual paid contract is concluded apply to that contract. Changes do not retroactively affect completed purchases. An updated version may be used for future contracts. Material changes affecting an ongoing free user account will be communicated in good time; mandatory statutory rights remain unaffected.
